Prior to founding Yuson & Irvine, Rusty was Of Counsel at the Global Outsourcing Group at Morgan Lewis & Bockius, and a member of the Global Sourcing Group at Pillsbury Winthrop Shaw Pittman.

Rusty is a top legal advisor in the sourcing field. He brings deep knowledge, experience and know-how of the sourcing deal lifecycle, including off-shoring, information technology, business process, human resource, procurement and other sourcing projects.

From the start of his legal career, Rusty has focused on enabling businesses to formulate sourcing strategies, conduct competitive procurements, engage in vendor due diligence, negotiate and document complex agreements and provide post-execution contract interpretations and monitoring.

RECENT EXPERIENCE OF NOTE

Sourcing Projects

Represented and counseled a major newspaper and media entity in its sourcing related projects, including the off-shoring (“lift and shift”) of its finance and accounting functions; and transformation of back-office, human resource activities such as payroll, health and welfare benefits, training, recruiting and employee learning functions.

Represented a major financial institution in negotiating and documenting airline corporate discount and related travel services agreement on a world-wide basis.

Represented a major financial institution and all of its divested subsidiaries in the procurement of various corporate goods and services.

Represented and advised a major record music label on global sourcing strategies for off-shoring application development and maintenance services and finance and accounting business process services.* Represented and counseled a major pharmaceutical company in global, information technology infrastructure outsourcing services agreements in the United States, France, Germany, the United Kingdom and Japan.

Represented and advised a major financial institution in a global, multi-billion dollar mainframe and midrange processing, print operations, network services, distributed computing processing and customer care IT outsourcing transaction.

Represented and advised a major pet nutrition and oral, personal and home care products manufacturer in its review, revision and negotiation of its indirect goods and services procurement contracts and direct material procurement contracts; also served as the legal lead in the design and implementation of the enterprise-wide global policy procurement manual and approval and signing authority policy.

Represented and advised a significant global telecommunications provider in global data center processing, network and applications development outsourcing, and joint venture with a major outsourcing integrator.

Other Projects

Created masterplans and design development drawings for the hotel lake district area of Disneyland Paris (EuroDisney); worked closely with the architects of the individual hotels (Michael Graves, Robert A.M. Stern, Antoine Grumbach, Frank Gehry and Antoine Predock); and performed a tree-tagging mission for over 7,000 trees and 120,000 shrubs for the district.

Performed a site inventory analyses, created a street classification system and developed streetscape design principles and standards for the Capital District of the City of Trenton, NJ.
